Welcome to Eat Drink Play Charleston (“EDP Charleston”, “we”, “us”, “our”). These Terms of Use (“Terms”) govern your access to and use of our website, eatdrinkplaycharleston.com (the “Site”), and any related services, content, or features made available through the Site.

By accessing or using the Site (or any associated services), you agree to abide by these Terms. If you do not agree, you must stop using the Site.

  • Any order, booking, project engagement, or service that you request or purchase — whether via the Site or through direct communication — may be subject to additional terms, estimates, contracts, or invoices defining scope, deliverables, pricing, payments, revisions, cancellations, and warranties.
  • We reserve the right to refuse or cancel any order, booking, or project for reasons such as material unavailability, errors in descriptions or pricing, or legal compliance concerns.
5. Disclaimers, Warranties & Limitation of Liability

The Site and all services, content, or products provided through it are offered “as is” and “as available”, without warranties of any kind (express or implied). EDP Charleston disclaims all implied warranties, including merchantability, fitness for a particular purpose, noninfringement, and accuracy.

Limitation of Liability

To the maximum extent permitted by law:

  • We (and our officers, directors, employees, agents, affiliates) will not be liable for indirect, incidental, special, punitive, or consequential damages (including loss of profits, data, business opportunity, or loss of use) arising from your use of or inability to use the Site or services.
  • Our total liability to you, for any cause, is limited to the amount you actually paid (if any) for use of or access to the services.

  • We may update or revise these Terms at any time, and the updated version will take effect when posted. Your continued use of the Site after changes are made constitutes acceptance of the new Terms.
  • We may refuse service or terminate your access to the Site at our discretion, including for violations of these Terms, without prior notice.
8. Governing Law & Dispute Resolution
  • These Terms and any dispute or claim arising from your use of the Site are governed by the laws of the State of South Carolina, without regard to conflict of laws principles.
  • You and EDP Charleston agree to submit to the exclusive jurisdiction of the state and federal courts located in South Carolina for resolution of any dispute.
9. General Provisions
  • Entire Agreement. These Terms (plus any supplemental agreements) constitute the entire agreement between you and EDP Charleston regarding your use of the Site, superseding all prior or contemporaneous agreements.
  • Severability. If any provision is deemed invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remainder of these Terms will remain in full effect.
  • Waiver. No waiver of any provision is effective unless in writing and signed by us. Our failure to enforce any right is not a waiver of that right.
  • Assignment. You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign or delegate our rights without restriction.
